I need you to oppose the Warner Bros. Discovery-Paramount merger and call for a federal investigation into the undisclosed conflicts of interest that came to light just six days before the April 23rd shareholder vote.
Warner Bros. Discovery filed a 14-page correction after shareholder Donna Nicosia sued, revealing that both banks providing fairness opinions had undisclosed financial ties. Evercore earned $40 million advising Larry Ellison's chip company Ampere Computing while simultaneously evaluating Ellison's $111 billion bid. Allen & Company held 167,743 shares of Paramount stock with a lockup expiring the same month as the vote, meaning they profited if the merger succeeded. None of this appeared in the original 266-page proxy statement.
This deal brings $24 billion from Saudi Arabia, the UAE, and Qatar into American media infrastructure. Qatar hosts Hamas leadership while becoming a stakeholder in CNN and CBS News. The entire structure runs on Oracle's cloud, funded by federal contracts for Medicare data and VA health records. Taxpayer money flows to Oracle, inflates Ellison's stock, and finances his control over the algorithms deciding what Americans see. Our medical information should never be mixed with Defense Department intelligence systems.
This is not a normal business transaction. This is foreign governments buying influence over American information infrastructure with help from Wall Street banks that hid their conflicts until they got sued. Stop this deal.
